PhotoPro Design LLC – Terms of Service

These Terms of Service (“Terms”) govern all services provided by PhotoPro Design LLC (“PhotoPro Design,” “we,” “us,” or “our”). By booking, purchasing, or using our services, you (“Client,” “you,” or “your”) agree to be bound by these Terms.

 

1. Company Information

PhotoPro Design LLC is a Texas-registered limited liability company providing professional photography and videography services.

Our services include, but are not limited to:

  • Real estate, Hotel, and Commercial photography and videography

  • Wedding photography and videography

  • Professional headshots

  • Event photography and videography

Most services result in digital deliverables (photos, videos, or related media) delivered electronically.

*NOTICE: Our photographers will not enter a home for an appointment if only a minor is present. An adult must be present, if children under 18 are in the home.

 

2. Booking, Scheduling & Platform Use

All bookings, invoices, payments, and client communications are managed through our website with third-party booking and financial management platforms such as Spiro, Titus, Stripe, Paypal, and/or Calendly (not limited to those listed).

By booking through our website with these third-party platforms, you acknowledge that:

  • Appointment details, invoices, contracts, and payment records are processed through third-party booking

  • Financial management and payment transactions are processed through third-party processors such as Titus or Stripe (Paypal, Venmo etc…)

  • Spiro, Titus, Stripe, PayPal, and Calendly (third-party platforms) operate independently of PhotoPro Design LLC

  • PhotoPro Design LLC is not responsible for technical issues, outages, data loss, or errors originating from third-party platforms

Appointments are not guaranteed until confirmed and, when applicable, paid.

 

3. Payments & Fees

  • Pricing is displayed or communicated at the time of booking

  • Payment terms (including deposits or full payment) are enforced as outlined in your booking or invoice

  • Failure to submit payment may result in cancellation, delayed delivery, or restricted access

  • All prices are listed in U.S. Dollars unless otherwise stated

Late or incomplete payments may delay delivery of final media.

 

4. Watermarking, Payment & Access to Deliverables

All photos, videos, and media delivered prior to payment are considered previews only.

  • Media may be watermarked, low-resolution, or access-restricted until payment is completed

  • Full-resolution, unwatermarked downloads are released only after payment is received in full

  • Download access is automatically enabled once payment is confirmed through Spiro or an approved payment method

Clients may not:

  • Use, publish, share, or distribute watermarked or unpaid media

  • Remove, crop, obscure, or alter watermarks

  • Screenshot, screen-record, or otherwise bypass payment restrictions

Unauthorized use of unpaid or watermarked media constitutes copyright infringement and may result in:

  • Immediate revocation of access

  • Invoicing for unpaid balances

  • Legal action where applicable

No ownership or usage rights are granted until payment is completed.

 

5. Cancellations, Rescheduling & No-Shows

  • Cancellation and rescheduling policies are defined at booking

  • Cancellations outside the allowed window may be non-refundable

  • No-shows or last-minute cancellations may be charged in full

  • Weather-related rescheduling for real estate or outdoor shoots is handled at our discretion

 

6. Service Scope & Creative Discretion

PhotoPro Design LLC retains full creative discretion regarding:

  • Shooting style

  • Composition

  • Editing techniques

  • Final image or video selection

We do our best to honor client special requests, within reason. Although client requests or reference examples are welcomed, they are not guaranteed unless explicitly agreed to in writing. 

 

7. Turnaround Time

Turnaround times provided are estimates, not guarantees.

Although we work to provide the fastest turnaround time possible, delays may occur due to:

  • High seasonal volume

  • Revision requests

  • Weather or access issues

  • Technical or third-party platform issues

 

8. Digital Delivery & File Retention

  • Deliverables are provided digitally via download link, gallery, or cloud delivery.

  • Listings remain accessible for up to one year before being removed. We archive photos for an additional year and can provide them upon request. After this extended period, all files are permanently deleted. 

  • The extended period is not guaranteed due to possible technical failure. This is a courtesy and not a guarantee.

  • Clients are responsible for downloading and backing up their files.

  • Delivery links and galleries may expire after a defined period.

PhotoPro Design LLC is not responsible for lost files after expiration.

 

9. Revisions

  • Basic corrections may be included depending on the service booked

  • Advanced retouching, object removal, sky/grass replacement, or additional edits may incur extra fees

  • Revision requests must be submitted within 48 hours after delivery

 

10. Copyright & Licensing

All images and videos are protected under U.S. copyright law.

Ownership

PhotoPro Design LLC retains full copyright ownership unless otherwise agreed in writing.

Client License

Upon full payment, clients receive a non-exclusive, non-transferable license to use delivered media for:

  • Marketing

  • Listings

  • Personal or business promotion

Prohibited uses without written consent include:

  • Selling or sublicensing media

  • Use in illegal, defamatory, or misleading contexts

 

11. Model & Property Releases

  • Client is responsible for obtaining permissions from property owners, occupants, venues, or participants unless otherwise agreed

  • PhotoPro Design LLC is not liable for claims arising from missing or incomplete releases

 

12. Weddings & Events – Special Considerations

  • Events are live and unpredictable; specific moments are not guaranteed

  • Lighting conditions, unexpected weather, venue rules, technical issues, and guest behavior may affect results

  • Backup equipment is used when possible, but liability remains limited as outlined in the sections that follow

 

13. Client Responsibilities

Client agrees to:

  • Provide accurate booking information

  • Ensure timely property or venue access

  • Secure pets, people, and hazards during shoots

  • Obtain HOA, venue, or property permissions when required

Delays caused by the client may result in additional fees.

 

14. Third-Party Services

PhotoPro Design LLC may use third-party services for:

  • Booking and invoicing

  • Payments

  • Galleries and file delivery

We are not responsible for outages, data breaches, or failures caused by third-party providers.

*Notice: Payments made with a credit card or payment card and certain other types of payments, including third-party network transactions (such as Titus, Stripe, PayPal, etc…), will be reported by the payment settlement entity  on Form 1099-K under section 6050W (and will be sent to PhotoPro Design) and are not subject to reporting on Form 1099-Misc or 1099-NEC. If you pay by cash or check, report those on 1099-NEC, but not payments online with a payment processor. See IRS Instructions for Forms 1099-Misc & 1099-NEC in section Form 1099-K for more information and 6050W.

Always review any questions for reporting with your financial advisor or accountant. We do not give legal or financial advice. 

 

15. Limitation of Liability

To the fullest extent permitted under Texas law:

  • Liability is limited to the amount paid for the specific service.

  • We are not liable for indirect, incidental, or consequential damages.

  • We are not responsible for missed shots due to circumstances beyond our control.

  • Clients are responsible for walking through the property for a property condition verification before the photographer/videographer arrives and departs the property to review the condition. The client accepts the property condition as satisfactory at the time of the photographer/videographer’s departure. PhotoPro Design is not responsible for damage, loss, or misplacement of items after departure.

 

16. Indemnification

Client agrees to indemnify and hold harmless PhotoPro Design LLC from claims arising from:

  • Unauthorized media use

  • Failure to obtain required permissions

  • Misuse or redistribution of delivered media

 

17. Refund Policy

Due to the custom and creative nature of photography and videography services:

  • Completed services are non-refundable

  • Partial refunds may be issued at our discretion only

 

18. Governing Law

These terms shall be governed by and construed in accordance with the laws of the state of Texas, without regard to its conflict of law provisions. 

Any dispute arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Hardin County, Texas.

 

19. Changes to Terms

PhotoPro Design LLC reserves the right to update these Terms at any time. Continued use of services constitutes acceptance of revised Terms.
